Item 2.02 Results of Operations and Financial Condition.
On February 1, 2005, NVIDIA Corporation issued a press release announcing preliminary financial results for its fourth quarter ended January 30, 2005. The press release is furnished and shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 (the "Exchange Act"), or subject to the liabilities of that Section. The press release is attached as Exhibit 99.1 and is incorporated herein by reference. The information in Item 2.02 and in Item 9.01 shall not be incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
