Common Stock, $0.01 Par Value

        The capital stock of Ballantyne of Omaha, Inc. (the "Company" or "Registrant") to be registered on the American Stock Exchange (the "Exchange") is the Registrant's Common Stock with a par value of $0.01 per share.
