This prospectus supplement no. 1 supplements the prospectus dated December 22, 2005 of Medarex, Inc., relating to the public offering and sale by the selling securityholders described below. In May 2004, we issued and sold $150,000,000 aggregate principal amount of our 2.25% Convertible Senior Notes due May 15, 2011 in a private offering. This prospectus supplement contains information on ownership of the notes and the shares of common stock issuable upon conversion of the notes.
