On March 8, 2007, the Registrant issued a press release announcing its financial results for the year ended December 31, 2006.  The text of the press release is included as Exhibit 99.1 to this Form 8-K.

Item 5.02  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On March 8, 2007, the Registrant issued a press release announcing the appointment of a new Chief Financial Officer of the Registrant.  The text of the press release is included as Exhibit 99.1 to this Form 8-K.

Item 7.01  Regulation FD Disclosure.

The Registrant issued a press release, filed herewith as Exhibit 99.1, and by this reference incorporated herein, on March 8, 2007 announcing the declaration of a first quarter dividend of $0.41 per share.  The dividend is payable on March 30, 2007 to stockholders of record as of March 19, 2007.
