Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 26, 2007, the Compensation and Organization Committee of the Board of Directors of Medarex, Inc. (“Medarex”) approved the following base salary increases, to be effective retroactive to July 1, 2007, for the following executive officers: Christian S. Schade, Chief Financial Officer and Senior Vice President, Finance and Administration, $14,900 increase to an annual salary of $500,000 and; W. Bradford Middlekauff, General Counsel, Senior Vice President and Secretary, $10,050 increase to an annual salary of $385,000.
