CF Industries Urges Terra Stockholders to Vote with the BLUE Proxy Card
DEERFIELD, IL, November 13, 2009 CF Industries Holdings, Inc. (NYSE: CF) today announced that RiskMetrics Groups ISS Governance Services (RMG), the nations leading proxy advisory firm, recommended that Terra Industries Inc.s (NYSE: TRA) stockholders vote FOR CF Industries three nominees to Terras board of directors at Terras annual meeting to be held on November 20, 2009. CF Industries urges Terra stockholders to vote with the BLUE proxy card for all three of CF Industries independent nominees for election to Terras board.
In its report dated November 13, 2009, RMG states, among other things:
· In sum, we believe the Terra board has been provided with adequate time and sufficient negotiating leverage to extract the highest value available for Terra shareholders.
· we note that a combined CF-Terra would be a nitrogen powerhouse, and nitrogen uber-bulls can take the cash received in a transaction and reinvest in the combined company.(1)
