Item 5.02.              Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

On June 22, 2018, the Board of Directors (the “Board”) of Arbor Realty Trust, Inc. increased the size of the Board from eight (8) directors to nine (9) directors. In connection therewith, the Board appointed Edward Farrell as a Class I director in order to fill the newly created vacancy, effective as of June 22, 2018.  There was no arrangement or understanding between Mr. Farrell and any other person pursuant to which Mr. Farrell was appointed as a director.  Mr. Farrell was also appointed to serve on the Audit Committee.
