Item 8.01 Other Events.

On September 12, 2006, Fortress America Acquisition Corporation (the “Company”) announced that John Morton, III has agreed to become a board member and chairman of the audit committee upon completion of the Company’s proposed acquisition of VTC, L.L.C., doing business as “Total Site Solutions”, and Vortech, LLC. A copy of the press release making this announcement is attached hereto as Exhibit 99.1.
