Item 2.02  Results of Operations and Financial Condition.

On August 6, 2009, Gastar Exploration Ltd. (the “Company”) issued a press release containing the Company’s results of operations for the three and six months ended June 30, 2009.  A copy of the Company’s press release, dated August 6, 2009, is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
