Item 2.02 Results of Operations and Financial Condition.

 

On November 30, 2004, the Registrant issued a press release announcing its earnings for the second quarter of fiscal 2005, which ended October 31, 2004. The press release contained a reconciliation for Farmland Foods, Inc. (“Farmland Foods”) net income of $70.2 million to EBITDA of $104.2 million for the twelve months ended October 31, 2004. The press release also contained a reconciliation for Schneider Corporation (“Schneider”) net income of $14.6 million to EBITDA of $43.4 million for the fiscal year ended April 27, 2003. The Registrant presented EBITDA for Farmland Foods and Schneider because it uses, and believes it is common for others to use, EBITDA as a method for determining fair value of a business. The information contained in the press release and the appendix thereto, which is attached as Exhibit 99.1 to this report, is incorporated herein by reference.
