State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period. (Attach Extra Sheets if Needed).
Noble International, Ltd. (the Company) has been engaged in negotiations for several weeks with its lenders and principal customers to address the Companys liquidity needs. Additionally, the Companys management has spent considerable time analyzing and considering strategic alternatives available to it with respect to the Companys operations. Due to the substantial time and resources dedicated by management and the Companys financial staff in addressing the Companys immediate liquidity needs and strategic options, the Company has not yet completed its preparation of the financial statements for the year ended December 31, 2008 and the information required to be included in the Annual Report on Form 10-K. Further, as a result of liquidity and other pressures the Company is experiencing, management has suspended work on the year-end audit. For the foregoing reasons, the Company has not been able to finalize the financial and other information required to be included in the Annual Report on Form 10-K for the year ended December 31, 2008 without unreasonable effort and expense.

If so, attach an explanation of the anticipated change, both narratively and quantitatively, and, if appropriate, state the reasons why a reasonable estimate of the results cannot be made.
The Company expects its results for the year ended December 31, 2008 to be substantially and negatively impacted by a deterioration in revenue caused by declining automotive sales resulting from the current credit crisis and plunging consumer confidence. The Company also had significant contracts to sell parts for use in vehicle manufacturing platforms that terminated, expired and/or were not renewed during 2008, further impacting the Companys results for the year. Because the financial statements for the year ended December 31, 2008 have not yet been completed by the Company and reviewed by the Companys independent registered public accountant, the Company is currently unable to quantify the amount of its expected net loss for the year. As previously reported, the Company has determined that it will record a goodwill and long-lived asset impairment charge during the fourth quarter of 2008. Management is reviewing the valuation of the Companys goodwill and long-lived assets in light of changing industry and economic factors to determine if additional charges may need to be taken, but as the analysis has not yet been completed the Company cannot provide an estimate of the impairment charge that may be taken beyond what was previously reported.
