Gregory J. Goff informed DCP Midstream GP, LLC (the “General Partner”) of his resignation from the Board of Directors and the Compensation Committee of the Board of Directors of the General Partner effective April 30, 2010. The General Partner serves as the ultimate general partner of DCP Midstream Partners, LP (the “Registrant”). There were no disagreements between Mr. Goff and the Registrant or the General Partner regarding operations, policies or practices.
