On December 9, 2014, Georgia Commerce Bancshares, Inc. (“GCBS”) provided a letter to its shareholders in connection with entering into a definitive agreement with IBERIABANK Corporation. A copy of that letter is attached to this Current Report on Form 8-K and incorporated in its entirety herein by reference.
