Hercules Capital Prices Its First Investment Grade Bond

Offering of $150.0 Million of 4.625% Notes Due 2022

Offering Upsized from $100.0 Million to $150.0 Million

PALO ALTO, Calif., October 18, 2017 Hercules Capital, Inc. (NYSE: HTGC) (“Hercules” or the “Company”), today announced that it has priced an underwritten public offering of $150.0 million in aggregate principal amount of 4.625% notes due 2022 (the “Notes”). The closing of the transaction is subject to customary closing conditions and the Notes are expected to be delivered and paid for on October 23, 2017.

The Notes are unsecured and bear interest at a rate of 4.625% per year, payable semiannually and will mature on October 23, 2022 and may be redeemed in whole or in part at the Company’s option at any time at par plus a “make whole” premium, if applicable.

The Company intends to use the net proceeds from this offering (i) to repurchase or redeem a portion of its 6.25% Notes due 2024, (ii) to fund investments in debt and equity securities in accordance with its investment objective and (iii) for other general corporate purposes.

Citigroup Global Markets Inc. and Jefferies LLC are acting as joint book-running managers of this offering.
