EXPLANATORY NOTE
This current report on Form 8-K/A (this "Amendment") amends a current report on Form 8-K filed May 15, 2017 (the "Original Filing") pursuant to which Tempur Sealy International, Inc. (the "Company") reported voting results for its Annual Meeting of Stockholders held on May 11, 2017 (the "2017 Annual Meeting"). The Company reported in the Original Filing, among other things, that its stockholders approved, on a non-binding, advisory basis, the compensation of the Company's named executive officers (the "Say-on-Pay Vote") and that more than a majority of its stockholders voted, on a non-binding, advisory basis, in favor of holding advisory Say-on-Pay Votes annually. Except for the disclosure provided under Item 5.07(d) below, this Amendment does not modify or update any other disclosure contained in the Original Filing.
Item 5.07 Submission of Matters to a Vote of Security Holders
(d) As previously reported in the Original Filing, more than a majority of the Company's stockholders voted, on a non-binding, advisory basis, in favor of holding advisory Say-on-Pay votes annually. In light of such vote, the Company has decided to hold non-binding, advisory stockholder Say-on-Pay Votes annually until the next required vote on the frequency of Say-on-Pay Votes.
