Item 1.01 Entry into a Material Definitive Agreement.

On February 18, 2009, the Board of Directors of Plumas Bancorp approved a one year Employment Agreement of Douglas N. Biddle, President and Chief Executive Officer of the Company. This agreement replaced Mr. Biddle's employment agreement dated January 1, 2006 which recently expired.

The intent of the Employment Agreement is to encourage the Executive to remain an employee of the Company. To accomplish this, the Company agrees to provide the Executive with certain severance benefits in certain circumstances as set forth in the Agreement.
