Item 8.01. Other Events.
On December 9, 2011, Graphic Packaging International, Inc., a wholly owned subsidiary of Graphic Packaging Holding Company, issued a press release announcing the execution of a definitive agreement to combine its multi-wall bag and specialty plastics packaging businesses with the kraft paper and multi-wall bag businesses of Delta Natural Kraft, LLC and Mid-America Packaging, LLC. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
