Item 2.02. Results of Operations and Financial Condition

 

On February 21, 2014, Ruth’s Hospitality Group, Inc. (the “Company”) issued a press release announcing its earnings results for its fiscal fourth quarter and fiscal year ended December 29, 2013. A copy of the press release is attached hereto as Exhibit 99.1 and furnished herewith.

On February 21, 2014, the Company announced that its Board of Directors has approved the declaration of a quarterly cash dividend of $0.05 per share, payable March 27, 2014, to all common shareholders of record as of the close of business on March 13, 2014.
