Item 7.01 Regulation FD Disclosure.
On June 8, 2015, Cognex Corporation (“Cognex”) issued a press release relating to the sale of its Surface Inspection Systems Division (SISD). The full text of the press release is furnished as Exhibit 99.1 to this report. Item 8.01 Other Events.
On June 8, 2015, Cognex announced that it had entered into an agreement with AMETEK, Inc. to sell the assets of its Surface Inspection Systems Division (SISD) for approximately $160 million in cash. Closing of the transaction is subject to regulatory approval and customary closing conditions.
