Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 5, 2010, the Board of Directors of Imperial Capital Bancorp, Inc. (the “Company”) appointed Anthony A. Rusnak as Chief Operating Officer of the Company.  Mr. Rusnak, age 45, had been serving as General Counsel and Secretary of the Company and its subsidiary, Imperial Capital Bank, since 1997 and will continue to serve in these capacities as well.
 
On February 17, 2010, Jeffrey L. Lipscomb notified the Company that he resigned as a director of the Company and Imperial Capital Bank.
