Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On January 5, 2011, Fentura Financial, Inc. (the “Company”) announced the appointment of Ronald L. Justice as President and Chief Operating Officer of the Company’s subsidiary bank, The State Bank. Mr. Justice has been with the Company since 1985 and most recently served as President of the Company’s subsidiary bank, West Michigan Community Bank.
     Current President of The State Bank, Donald L. Grill, will remain as Chief Executive Officer of The State Bank and continue to serve as President and Chief Executive Officer of the Company. The Company’s announcement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
