Item 8.01 Other Events.

     On October 12, 2007, Fentura Financial, Inc. announced that it has invested approximately $3.3 million in Valley Capital Bank, a community bank established in November 2006 and headquartered in Mesa, Arizona, in exchange for a 24.9% ownership stake in the bank. Fentura’s press release with respect to the investment is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
