Item 5.02(b).	Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

     On April 27, 2005, Ansbert Gadicke, a current Director of ViaCell, Inc., declined to stand for re-election as director at the 2005 Annual Meeting of Stockholders. He indicated that he will continue to serve out the remainder of his term, ending at the 2005 Annual Meeting. The Board of Directors of the Company approved the nomination of Barbara Bierer for the directorship to be vacated by Dr. Gadicke.
