ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT On December 15, 2005, the Compensation Committee of the Board of Directors of Proliance International, Inc. (the "Company") determined to increase the base salary of Charles E. Johnson, the Company's President and Chief Executive Officer, from $440,000 per year to $500,000 per year. The salary increase was implemented retroactive to the pay period beginning December 12, 2005. The Compensation Committee based its decision in part on the increased responsibilities Mr. Johnson has undertaken since the Company's merger with the aftermarket business of Modine Manufacturing Company in July 2005.
