BlackRock TCP Capital Corp. Announces Second Quarter 2021 Financial Results Including Net Investment Income of $0.31 Per Share; Declares Third Quarter Dividend of $0.30 Per Share; 37 Consecutive Quarters of Dividend Coverage

BlackRock TCP Capital Corp. (“we,” “us,” “our,” “TCPC” or the “Company”), a business development company (NASDAQ: TCPC), today announced its financial results for the second quarter ended June 30, 2021 and filed its Form 10-Q with the U.S. Securities and Exchange Commission.

FINANCIAL HIGHLIGHTS

  • Net investment income for the quarter ended June 30, 2021 was $17.8 million, or $0.31 per share on a diluted basis, which exceeded the dividend of $0.30 per share paid on June 30, 2021.
  • Net increase in net assets from operations for the quarter ended June 30, 2021 was $54.8 million, or $0.95 per share compared to $35.5 million, or $0.61 per share for the quarter ended March 31, 2021. Net increase in net assets from operations for the six months ended June 30, 2021 was $90.3 million, or $1.56 per share.
  • Net asset value per share increased 4.8% to $14.21 at June 30, 2021 compared to $13.56 at March 31, 2021 and 7.3% compared to $13.24 at December 31, 2020. The increase in net asset value included approximately $40.7 million of unrealized gains on our investment in Edmentum, partially offset by a $7.6 million reversal of unrealized gains on our investment in Amteck and $5.3 million of unrealized loss on our investment in Fishbowl.
  • Total acquisitions during the quarter ended June 30, 2021 were $235.7 million and total dispositions were $184.6 million.
  • As of June 30, 2021, loans on non-accrual status represented 0.3% of the portfolio at fair value and 0.7% at cost. No new loans were placed on non-accrual.
  • On June 1, 2021, the Company announced that Howard Levkowitz will retire from his role as Chairman and Chief Executive Officer. Rajneesh Vig will succeed Howard Levkowitz as Chairman and Chief Executive Officer and Phil Tseng will assume the roles of President and Chief Operating Officer. Howard Levkowitz will retire from his role as Chief Executive Officer of the Company on August 5, 2021, and as a Director and Chairman of the Board of Directors on September 30, 2021.
  • On June 22, 2021, the Company amended its SVCP Credit Facility (the “Operating Facility) and extended the maturity two years to May 6, 2026. Amendments made to the Operating Facility included a reduction in the stated interest rate to LIBOR +1.75%, subject to certain borrowing base conditions.
  • On August 2, 2021, our board of directors declared a third quarter dividend of $0.30 per share payable on September 30, 2021 to stockholders of record as of the close of business on September 16, 2021.

PORTFOLIO AND INVESTMENT ACTIVITY

As of June 30, 2021, our investment portfolio consisted of debt and equity positions in 108 portfolio companies with a total fair value of approximately $1.8 billion, 88% of which was senior secured debt. 87% of the debt portfolio was first lien. Equity positions, including equity interests in portfolios of debt and lease assets, represented approximately 12% of the portfolio. 94% of our debt investments were floating rate, 87% of which had interest rate floors.

As of June 30, 2021, the weighted average annual effective yield of our debt portfolio was approximately 9.3%(1) and the weighted average annual effective yield of our total portfolio was approximately 9.0%, compared with 9.5% and 9.2%, respectively, as of March 31, 2021. Debt investments in two portfolio companies were on non-accrual status as of June 30, 2021, representing 0.3% of the portfolio at fair value and 0.7% at cost.

During the three months ended June 30, 2021, we invested approximately $235.7 million, primarily in 19 investments, comprised of 16 new and 3 existing portfolio companies. Of these investments, $234.3 million, or 99.4% of total acquisitions, were in senior secured loans. The remaining $1.4 million (0.6% of total acquisitions) was comprised of equity investments. Additionally, we received approximately $184.6 million in proceeds from sales or repayments of investments during the three months ended June 30, 2021. New investments during the quarter had a weighted average effective yield of 8.8%. Investments we exited had a weighted average effective yield of 9.2%. We expect to continue to invest in senior secured loans, bonds and subordinated debt, as well as select equity investments, to obtain a high level of current income, with an emphasis on principal protection.

As of June 30, 2021, total assets were $1.9 billion, net assets were $820.6 million and net asset value per share was $14.21 per share, as compared to $1.8 billion, $783.1 million, and $13.56 per share, respectively, as of March 31, 2021.

CONSOLIDATED RESULTS OF OPERATIONS

Total investment income for the three months ended June 30, 2021 was approximately $41.6 million, or $0.72 per share. Investment income for the three months ended June 30, 2021 included $0.03 per share from prepayment premiums and related accelerated original issue discount and exit fee amortization, $0.03 per share from recurring original issue discount and exit fee amortization, $0.02 per share from interest income paid in kind, $0.03 per share of dividend income and $0.01 per share in other income. This reflects our policy of recording interest income, adjusted for amortization of premiums and discounts, on an accrual basis. Origination, structuring, closing, commitment, and similar upfront fees received in connection with the outlay of capital are generally amortized into interest income over the life of the respective debt investment.

Total operating expenses for the three months ended June 30, 2021 were approximately $23.9 million, or $0.41 per share, including interest and other debt expenses of $10.7 million, or $0.19 per share, and incentive compensation from net investment income of $4.5 million, or $0.08 per share. For the three months ended June 30, 2021, our incentive compensation expense included approximately $0.6 million, or $0.01 per share of previously deferred incentive compensation related to the first quarter in 2020. Excluding incentive compensation, interest and other debt expenses, annualized second quarter expenses were 4.3% of average net assets.

Net investment income for the three months ended June 30, 2021 was approximately $17.8 million, or $0.31 per share. Net unrealized gains for the three months ended June 30, 2021 were $37.3 million, or $0.65 per share, primarily driven by $40.7 million in unrealized gains on our investment in Edmentum in addition to overall spread tightening and continued recovery related to the market impact of COVID-19, partially offset by $7.6 million in reversal of unrealized gains from Amteck and $5.3 million in unrealized losses from Fishbowl. Net realized losses for the three months ended June 30, 2021 were $0.2 million, or $0.00 per share. Net increase in net assets resulting from operations for the three months ended June 30, 2021 was $54.8 million, or $0.95 per share.

LIQUIDITY AND CAPITAL RESOURCES

As of June 30, 2021, available liquidity was approximately $373.2 million, comprised of approximately $388.8 million in available capacity under our leverage program, $17.9 million in cash and cash equivalents, and $33.5 million in net outstanding settlements of investments purchased.

The combined weighted-average interest rate on debt outstanding at June 30, 2021 was 3.48%.
