Aramark Announces Board of Directors for Uniform Services Spin-Off

Board appointments effective upon completion of transaction expected at Company’s fiscal year end

Highly experienced, diverse board assembled to help drive strategic growth in next phase of value creation

Aramark (NYSE: ARMK), a global leader in food, facilities management and uniforms, today announced the Board of Directors for Aramark Uniform Services (AUS), the independent public company that will be formed following the spin-off. The transaction is expected to be completed at the end of the Company’s fiscal year and is intended to be tax-free to Aramark and its stockholders.

Both organizations are well positioned with an executive leadership team and Board that can focus exclusively on their respective businesses to deliver value-creating outcomes.”

In connection with the spin-off, Aramark intends to appoint the following Directors to its Uniform Services Board:

Phillip Holloman, Chairman of the Board: Mr. Holloman was with Cintas for 22 years and last held the position of President and COO. Other roles with Cintas included Rental Division President & COO, Senior Vice President of Global Supply Chain Management, Executive Champion of Six Sigma Initiatives, Vice President of Distribution/Production Planning and Vice President of Engineering and Construction. Holloman is a founding member of Cintas’ Diversity Committee and received the Excalibur Award, the company’s highest distinction reserved for business executives who demonstrate excellence during their tenure. He serves as a member of the Board of Directors for Pulte Group and the BlackRock Fixed Income Board and was previously a member of the Board of Directors for Rockwell Automation. In addition, Holloman serves as a member of the Board of Directors for the Urban League of Greater Southwestern Ohio and on the Board of Trustees for the University of Cincinnati.

Doug Pertz, Vice Chairman of the Board: Mr. Pertz served as Executive Chairman of the Board of The Brink’s Company, a global leader in total cash management and secure logistics until his retirement in May 2023. Pertz also served as the President and CEO and a member of the board of The Brink’s Company from June 2016 to May 2022. Prior to Brink’s, he served as President and CEO of Recall Holdings, having led Recall from initial public offering in 2013 to strategic sale of the business in 2016. He previously also served as CEO of several other public companies, including IMC Global (predecessor to Mosaic) and Culligan Water Technologies. Pertz currently serves on the Board of Directors for Advance Auto Parts and Vital Records Control.

Kim Scott, President and CEO, Aramark Uniform Services: Ms. Scott joined as President and CEO of Aramark Uniform Services in October 2021 and will be appointed President and Chief Executive Officer of the standalone company in connection with the spin-off. Previously, Scott served as Chief Operating Officer of Terminix, overseeing operations for both the residential and commercial businesses. Prior to Terminix, she held numerous executive roles at Rubicon Global and Brambles Limited. Early in her career, Scott gained industrial manufacturing experience at the General Electric Company and U.S. Steel. She serves as a member of the Board of Directors for Greif, Inc.

Richard Burke: Mr. Burke served as Chairman of the Board and Chief Executive Officer of Advanced Disposal Services, an integrated environmental services company. He previously served as President and Chief Executive Officer of Veolia Environmental Services North America Corp., a solid waste and hazardous waste management company and as President of Veolia ES Solid Waste. Burke currently serves on the Board of U.S. Infrastructure Company, an underground utility locating business owned by Partners Group.

Tracy Jokinen: Ms. Jokinen has over 30 years of finance and accounting experience across various global industries, where she focused on accelerating growth in her role as Chief Financial Officer for both public and private companies. Most recently, Jokinen was CFO of Vyaire Medical, a medical device company. She previously held the CFO role at Acelity, which was acquired by 3M in October 2019. She also served as CFO of G&K Services, a publicly traded uniform services company, which was acquired by Cintas in 2017. Jokinen currently sits on the Board of Directors at Alamo Group, Array Technologies, and Candela Corporation.

Lynn McKee: Ms. McKee most recently served as EVP, Human Resources for Aramark where she led the initial HR strategy related to the spin of the Uniform business as a member of the Executive Leadership Team. Prior responsibilities at Aramark included SVP, Human Resources for the company’s global Food & Facilities business, VP Corporate Human Resources, and other senior leadership positions. She was instrumental in developing Aramark’s DEI and ESG strategic priorities. McKee is currently a member of the Board of Directors of WSFS Financial Corporation.

Mary Anne Whitney: Ms. Whitney is Executive Vice President and Chief Financial Officer of Waste Connections and has more than 25 years of deep financial expertise. During her 17-year tenure at Waste Connections, Whitney has held executive-level Finance roles, each with increased responsibilities, including Senior Vice President and Chief Financial Officer, Senior Vice President – Finance, Vice President – Finance and Director of Finance. Previously, Whitney held various finance positions at Wheelabrator Technologies.

Ena Williams: Ms. Williams is Chief Operating Officer of Casey’s General Stores, one of the leading convenience store chains in the U.S. She is responsible for store operations, supply chain, fuel operations, real estate, and construction & maintenance. Prior to this role, Williams served as the Chief Executive Officer and member of the Board of Directors of National HME, a technology enabled medical equipment provider. Williams also served as Senior Vice President and Head of International Operations for 7-Eleven, where she led the global growth strategy and had P&L responsibilities. Williams also held several positions in operations, retail, finance and planning for Mobil Oil Corporation and ExxonMobil Corporation. Williams currently serves on the Board of Advisors for the Robert B. Rowling Center for Business Law & Leadership, SMU Dedman School of Law. She also serves on the Board of Directors for Children International, and on the Dallas leadership committee for St. Jude.
