Item 1.01 Entry into a Material Definitive Agreement.
On March 1, 2018, Helen of Troy Limited (the Company) and its subsidiaries Helen of Troy Texas Corporation, a Texas corporation (HOT-TX), and Helen of Troy L.P., a Texas limited partnership (HOT LP), entered into that certain Second Amendment, Assumption, Consent and Ratification Agreement (the Second Amendment) with Bank of America, N.A., as administrative agent, and the other lenders party thereto. The Second Amendment amends the Amended and Restated Credit Agreement, dated January 16, 2015 (as amended, the Credit Agreement). In connection with the Second Amendment, HOT LP assigned to HOT-TX all of HOT LPs rights and all of HOT LPs obligations under the Credit Agreement; HOT-TX became the borrower under the Credit Agreement. In addition, the Second Amendment, among other things, amended the Credit Agreement to provide a mechanism for determining a benchmark rate that is an alternative to LIBOR.
The foregoing description of the Second Amendment is not a complete description of all of the parties rights and obligations under such agreement and is qualified in its entirety by reference to the Second Amendment, which is filed with this Current Report on Form 8-K as Exhibit 10.1 and the Credit Agreement that was filed as Exhibit 10.1 to the Companys Current Report on Form 8-K filed with the SEC on January 20, 2015, which is incorporated by reference herein.
