Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 21, 2018, Thomas F. Marry, Executive Vice President and Chief Operating Officer of Modine Manufacturing Company (the “Company”), provided notice of his intention to retire, effective December 31, 2018.

In accordance with the Company’s succession plan, Scott L. Bowser has been appointed as Vice President, Chief Operating Officer, effective January 1, 2019. Mr. Bowser has served as the Company’s Vice President, Global Operations since May 2017 and previously served as Regional Vice President - Asia.

Other Events.

On September 26, 2018, the Company issued a press release announcing the appointment of Mr. Bowser as Vice President, Chief Operating Officer and the retirement of Mr. Marry, as described in Item 5.02, above.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
