Item 8.01 Other Events.

 

On November 16, 2009, Kilroy Realty Corporation announced that its operating subsidiary, Kilroy Realty, L.P., priced a private placement to qualified institutional buyers of $150 million (or $172.5 million if the initial purchasers’ over-allotment option is exercised in full) in aggregate principal amount of its exchangeable senior notes due 2014 to be issued pursuant to Rule 144A under the Securities Act of 1933, as amended. For additional information concerning this private placement, refer to Exhibit 99.1 contained in this Current Report on Form 8-K.
