Revised Proposed Terms of the Offering

The aggregate number of shares of class A common stock proposed to be issued in the offering increased from 16,000,000 shares (plus up to an additional 2,400,000 shares that may be issued and sold upon the option of the underwriters) to 21,000,000 shares plus (plus up to an additional 3,150,000 shares that may be issued and sold upon the option of the underwriters). PRO FORMA FINANCIAL INFORMATION
