Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 10, 2016, Jeffrey S. Bowen, Chief Administrative Officer (“CAO”) of Dana Holding Corporation (“Dana”), notified Dana of his intention to retire from his role as CAO. Mr. Bowen will continue in his current capacity through May 31, 2016 and will remain employed with Dana in an advisory role until September 30, 2016.
