Item 8.01 Other events.
On November 5, 2014, Fox Factory Holding Corp. (“Fox”) issued a press release announcing that its Board of Directors authorized a share repurchase program for up to $40 million of Fox’s outstanding common stock on November 3, 2014. A copy of Fox’s press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
