Item 8.01 Other Events.

Effective as of November 30, 2006, Modine Manufacturing Company (“Modine”), Modine Korea, LLC, a subsidiary of Modine, and WiniaMando Inc. entered into a Final Settlement Agreement settling certain claims arising out of the purchase by Modine of the assets of the ACC Division of WiniaMando in 2004. Under the terms of the Final Settlement Agreement, WiniaMando agreed to pay the Modine entities the sum of $2.9 million in return for certain releases of claims by those entities.
