Results of Operations and Financial Conditions.

On October 29, 2010, Northeast Utilities (“NU”) issued a news release announcing its unaudited results of operations for the third quarter and first nine months of 2010 and related financial information for certain of its subsidiaries for the same periods.  In addition, the company revised existing 2010 consolidated earnings and segment guidance.  A copy of the news release and related financial reports are attached as Exhibits 99.1 and 99.2, respectively, and are incorporated herein by reference thereto.
