Item 1.01 Entry into a Material Definitive Agreement.

On September 23, 2005, the Centers for Medicare & Medicaid Services ("CMS") notified the Registrant of its approval of agreements with certain wholly-owned subsidiaries of the Registrant (the "CMS Agreements"). Pursuant to the CMS Agreements, each of WellCare of Connecticut, Inc., WellCare of Florida, Inc., WellCare of Georgia, Inc., Harmony Health Plan of Illinois, Inc., WellCare of Louisiana, Inc. and WellCare of New York, Inc. will provide Medicare managed care coverage and will operate voluntary Medicare prescription drug plans in each of Connecticut, Florida, Georgia, Illinois, Louisiana and New York, respectively. The CMS Agreements are effective from the date of complete execution through December 31, 2006 and are renewable for successive one-year periods thereafter.

The foregoing description does not purport to be a complete statement of the parties’ rights and obligations under the above described CMS Agreements. The above descriptions are qualified in their entirety by reference to the complete CMS Agreements which will be filed with the Registrant’s next periodic report.

In the interest of providing interested parties with full access to its federal, state and county contracts, the Registrant has elected to file such contracts with the Securities and Exchange Commission. The Registrant does not believe that its business is substantially dependent on many of these contracts when each is taken individually.
